Terms of Service & EULA

1. Agreement to Terms

By downloading, installing, accessing, or using the Smart Ledger: AI Accounting application ("Application"), the website at sheikhsoft.com ("Website"), or any services provided by SheikhSoft ("we", "us", or "our"), you agree to be bound by these Terms of Service and End User License Agreement ("Terms"). If you do not agree to these Terms, do not install, access, or use the Application.

2. End User License Agreement (EULA)

License Grant: SheikhSoft grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Application on any Apple-branded products that you own or control, strictly as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions and this agreement.

Standard Apple EULA Incorporation: For apps distributed via the Apple App Store, this agreement supplements and incorporates the standard terms set forth in the Apple Licensed Application End User License Agreement (Apple Standard EULA). In the event of any conflict, these terms shall apply to the maximum extent permitted by applicable law.

Restrictions: You agree not to: (a) decompile, reverse engineer, disassemble, or attempt to derive the source code of the Application; (b) modify, translate, or create derivative works based upon the Application; (c) rent, lease, lend, sell, sublicense, or distribute the Application; or (d) remove, obscure, or alter any copyright notices or proprietary trademarks affixed to the Application.

3. Auto-Renewable Subscriptions — Smart Ledger Pro

Smart Ledger: AI Accounting offers both free features and optional premium subscriptions under the publication title Smart Ledger Pro. The following disclosures are provided in strict accordance with Apple App Store Review Guideline 3.1.2(c):

5. User Accounts & Security

To use Smart Ledger: AI Accounting, you may create an account using your email address. You agree to provide accurate and complete registration information. You are solely responsible for safeguarding your login credentials and for all activities that occur under your account. If you suspect unauthorized access, notify us immediately at support@sheikhsoft.com.

6. User Content & Ownership

Your Ownership: You retain 100% intellectual property ownership of all accounting data, company records, transaction ledgers, vouchers, customer records, and receipt images ("User Content") that you enter into or upload to Smart Ledger: AI Accounting.

Service License: You grant SheikhSoft only the limited, worldwide, non-exclusive license necessary to store, back up, process, and synchronize your User Content solely to operate the Application and provide its services to you. We do not sell your User Content or share it with advertisers.

7. Account Deletion & Termination

You may terminate your account and delete all associated data at any time directly through the app (Profile > Settings > Danger Zone > Delete Account) or online via our Account Deletion Page. Account deletion triggers a complete, permanent erasure of all user records, workspaces, financial entries, and cloud backups as described in our Privacy Policy.

SheikhSoft reserves the right to suspend or terminate accounts that violate these Terms, engage in fraud, or abuse our infrastructure, with or without prior notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHEIKHSOFT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, TAX PENALTIES, AUDIT ASSESSMENTS, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATION; (B) ANY ERRORS, INACCURACIES, OR OMISSIONS IN ANY FINANCIAL REPORTS GENERATED BY THE APPLICATION; OR (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be instituted exclusively in the competent courts of Dhaka, Bangladesh, and you consent to the jurisdiction thereof.

10. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect via our website or an in-app notice. By continuing to access or use our Application after those revisions become effective, you agree to be bound by the revised terms.
